This “Festival Sponsorship NFT” is an “Economic Art” NFT, which means that the NFT has an economic empowerment aspect to it, where the economic value that can be obtained by purchasing the NFT, significantly exceeds the economic value paid for the NFT. This “Festival Sponsorship NFT” conveys the following RIGHTS to the buyer thereof:
The RIGHT to be a company sponsor of The NFT Xperience! Festival taking place in New York City during the 3-week period April 02nd to 22nd, 2022, SUBJECT TO the buyer company or subsequent recipient company, qualifying for festival sponsorship based on “Alignment Factors”, where such qualification is determined at the sole discretion of Sm@rtr®. The sponsorship is a 1-Year Sponsorship which goes beyond exposure at the 3-week festival event, to encompass further brand exposure and consumer engagement for 12 months via SMARTR’s NFT TV Show and Special Feature Productions, for distribution via OTT Streaming Platforms.
[The RIGHT to be a sponsor must be ratified by SMARTR at its sole discretion based on the following bulleted Alignment Factors:]
- The ultimate proposed “sponsoring company” must be operating within an industry deemed strongly relevant to the NFT industry and Sm@rtr®’s smart city impact focus, as determined at the sole discretion of Sm@rtr®. For example, while it is possible to sell a pig as an NFT, Sm@rtr® does not consider Pig Farms to be a relevant sponsor of its NFT Festival event
- The proposed sponsoring company must NOT be a promoter or major enabler of ANTISustainability practices and attitudes and should ideally have a well defined Sustainability Policy and Program.
- The proposed sponsoring company must NOT be a manufacturer of “hard” alcoholic beverages (rum, vodka, whiskey, etc) or sugary soft drinks, or sugary energy drinks.
- The proposed sponsoring company must NOT be involved in the emerging marijuana industry.
- The proposed sponsoring company must NOT be a manufacturer or seller of firearms.
- The proposed sponsoring company must NOT be a producer or seller of fossil fuels or products for facilitating fossil fuel production.
- The proposed sponsoring company must NOT be a producer or seller of tobacco products or vaping products.
- The proposed sponsoring company must NOT be a producer or seller of pornographic content or content that is filled with profanity, depiction of drug usage or excessive violence.
- The proposed sponsoring company must NOT be a provider of gambling services such as casinos, lotteries, etc.
- (Sm@rtr® reserves the right to decline sponsorship by companies involved in any other industry not noted in the bulleted notations above, where a company’s products, services or general operations are significantly counter to the objectives and achievement of the UN Sustainable Development Goals.)
The RIGHT to co-create with Sm@rtr®, a bespoke festival sponsorship value package from the available sponsorship assets within the Festival Sponsorship Asset Catalog, access to which can be provided securely online (and prior to sponsorship purchase), upon request by serious prospective sponsors/NFT buyers, after they are confirmed as being an entity qualified to be a festival sponsor in accordance with the “Alignment Factors” as noted above, or as an entity with credible “access” to companies which are considered by Sm@rtr® to be a good fit for the festival sponsorship opportunity. The qualified sponsor may also propose “perceived sponsorship asset value” not listed in the sponsorship catalog, which Sm@rtr® would at its sole discretion, determine if it is capable of providing and is prepared to provide.
The RIGHT to receive 100% CryptoCashBack™ on the purchase of this “Festival Sponsorship NFT”, paid to the buyer as a quantity of units of SMARTR’s “TALENT” (XTL) Loyalty/Rewards Crypto Tokens, depending on the price paid for the digital expo booth.
The RIGHT of confirmed “Company Membership” status within The Global NFT SUSTAINABILITY TRANSFORMATION ALLIANCE, a coalition of Countries, Cities, Communities, Colleges, Companies, Charities and Citizens, committed to consistently taking MORE Pro-Sustainability ACTions™ and LESS Anti-Sustainability ACTions™ going forward.
The RIGHT to resell this “Festival Sponsorship NFT” to another company or individual at any price that does not exceed the stated “List Price” of the “Festival Sponsorship NFT” purchased.
Your purchase of this “Festival Sponsorship NFT” is governed by the following Redemption Policy.
While an individual can “purchase” this “Festival Sponsorship NFT”, only a COMPANY may exercise the rights to become a sponsor of The NFT Xperience! Festival, subject to meeting the “Alignment Factors” outlined under the preceding “NFT RIGHTS” section.
Sm@rtr® reserves the right to fully and irreversibly REVOKE all rights associated with and conveyed via purchase of this “Festival Sponsorship NFT”, if at its sole discretion, the buyer is post purchase, determined to be unqualified to purchase and enjoy the rights associated with the “Festival Sponsorship NFT”. Grounds for disqualification include but are not limited to:
- Failing Bad Actor Checks
- Evidence of Fraudulent Activity regarding the Payment Instrument Used for the purchase
- Previous purchase of the maximum 2 units of the same type of “Festival Sponsorship NFT”
- Posts online by the buyer which are abusive to others or are otherwise offensive/vulgar etc.
Sm@rtr® reserves the right to alter the “Method of NFT Redemption” for exercising the associated rights, if deemed necessary by Sm@rtr® at its sole discretion and any such change shall be communicated to the buyer at the earliest possible time following the decision by Sm@rtr® to effect any such change.
The buyer acknowledges that for compliance purposes, Sm@rtr® will not accept any “Festival Sponsorship NFT” sale where the buyer’s legal identity and citizenship cannot be fully and definitively confirmed. The buyer therefore agrees to provide any requested proof of incorporation, identity and citizenship as may be requested by Sm@rtr® at any time following the completion of the “Festival Sponsorship NFT” purchase transaction.
Payment terms applicable to this “Festival Sponsorship NFT” are as follows. This “Festival Sponsorship NFT” may be purchased with any of the following FIAT or Cryptocurrencies:

Your purchase of this “Festival Sponsorship NFT” is final unless Sm@rtr® finds grounds for the disqualification of the buyer of the NFT, following the post-purchase diligence process of bad actor checks, etc. If a buyer of this “Festival Sponsorship NFT” is subsequently disqualified, the NFT will be VOIDED and the buyer must transfer the voided NFT back to Sm@rtr® in order to receive from Sm@rtr® a 100% refund of the purchase payment.
If the buyer of a VOIDED NFT does not transfer the VOIDED NFT back to Sm@rtr® within 30 days of being notified that the NFT is VOIDED, the payment made by the buyer shall become completely non-refundable and the funds received from the buyer as payment for the NFT, shall be donated to any legally registered charity selected by Sm@rtr® to receive it as a donation, unless the buyer can unequivocally prove that they made several legitimate attempts to transfer the NFT back to Sm@rtr®, but were unable to do so due to an insurmountable technical issue beyond their control. In all such circumstances, the buyer must communicate each failed attempt to Sm@rtr® via firstname.lastname@example.org, within 24 hours of each failed attempt, explaining the specific error encountered, allowing Sm@rtr® to investigate the issue with our blockchain service provider.
Each TALENT Loyalty/Rewards token received by the buyer of this “Festival Sponsorship NFT”, has a guaranteed Loyalty Redemption Value (LRV) of exactly US$1.00 within the SMARTR NFTbased Digital Economy and Ecosystem.
The buyer will receive the TALENT (XTL) tokens within 60-120 days of completing their “Festival Sponsorship NFT” purchase. SMARTR will determine the method of token delivery to the buyer, which may be to the buyer’s RubiX Market account, or to a separate compatible mobile NFT wallet..
TALENT tokens obtained through purchase of this “Festival Sponsorship NFT”, may NOT be redeemed by the sponsoring company on the future “NFT STORE” facility of The NFT Xperience! ™ Brand, which will be activated/opened on the official NFT Xperience!™ Festival website at https://www.thenftxperience.live on or before April 02, 2022. The sponsoring company may only use the said TALENT tokens as loyalty rewards to be offered and subsequently issued to their “business or consumer” clientele, functioning as a sales incentive resource for the company. The sponsoring may only issue the received TALENT tokens to their clientele as “CryptoCashBack™” rewards, at a cash back ratio of 100% or less, based on the fixed Loyalty Redemption Value (LRV) of US$1.00 per TALENT token.
All TALENT tokens issued to a sponsoring company (as are those issued to individual consumers), are tracked on the RubiX blockchain in terms of their ownership and transference history. Should a sponsoring company transfer large sums of received TALENT tokens to an individual, whether a family member of the company’s principals or not and then a request is subsequently made (whether soon thereafter or long thereafter) to redeem said TALENT tokens within the Sm@rtr® NFT Store or to exchange them for Sm@rtr®’s ART tokens, Sm@rtr® reserves the right to investigate the nature and justification of such token transfers and if deemed inappropriate (attempt to circumvent the applicable terms of TALENT token issuance to sponsoring companies) at Sm@rtr’s sole discretion, Sm@rtr® reserves the right to permanently deny any redemption or exchange requests regarding the specific TALENT tokens involved.
